Terms of Service

These Terms of Service (the “Terms”) govern your use of the Heddley platform operated by HEDDLEY LLC (“Heddley,” “we,” “us,” or “our”). Heddley provides software that lets print shops and similar businesses (each a “Merchant,” “you,” or “your”) run a branded online store with a gang sheet builder and order management tools. By creating an account or using the platform, you agree to these Terms.

1Agreement to these Terms

By registering for, accessing, or using the Heddley platform, you accept these Terms on behalf of yourself and any business you represent. If you do not agree, do not use the platform. If you use Heddley on behalf of a company, you represent that you are authorized to bind that company to these Terms.

2Definitions

  • Platform means the Heddley software, websites, storefront hosting, gang sheet builder, and related tools and services.
  • Merchant means a business that uses Heddley to sell products through a storefront.
  • Storefront means the branded online store Heddley hosts for a Merchant, including any custom domain pointed at it.
  • Customer means an end user who places an order through a Merchant’s Storefront.
  • Content means logos, colors, text, product configurations, uploaded artwork, fonts, and other materials provided by a Merchant or its Customers.

3Eligibility and accounts

The platform is offered to businesses located in the United States that sell to Customers in the United States. You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity that occurs under your account and under the accounts of team members you invite.

4The service and your license to use it

Subject to these Terms, Heddley grants you a non-exclusive, non-transferable, revocable right to access and use the platform to operate your Storefront during the term of your account. We may update, add, or remove features over time. All rights in the platform itself, including its software, design, and underlying technology, remain with Heddley.

5Platform fees

Heddley charges a per-transaction platform fee on orders sold through your Storefront. Your fee rate, any cap, and any other charges are set out in your account settings or in a separate order form or agreement with us. The platform fee is collected automatically through Stripe at the time of each order, as described below. We may change our standard fees on notice to you; changes apply to orders placed after the change takes effect.

6Payments and Stripe

Payments on your Storefront are processed by Stripe, Inc. through Stripe Connect. You must connect and maintain your own Stripe account. Customer payments settle directly to your Stripe account, and Heddley’s platform fee is deducted as an application fee at the time of the charge. Your use of Stripe is subject to Stripe’s own agreements, and you are responsible for meeting Stripe’s requirements.

  • Payouts are made by Stripe to your account on Stripe’s schedule. Heddley does not hold, disburse, or control your funds.
  • Refunds are initiated by you. Payment processing fees charged by Stripe are generally not returned on a refund, and you absorb those costs.
  • Chargebacks and disputes are handled through your Stripe account. You are responsible for submitting evidence and for any financial liability that results, including disputed amounts and related fees. Heddley is not a party to, and is not liable for, disputed charges.

7Taxes

You are solely responsible for determining, collecting, filing, and remitting all taxes that apply to your sales. Heddley may provide tools, including Stripe Tax, to help calculate and collect sales tax, and any costs of those tools (for example, per-transaction Stripe Tax fees) come out of your Stripe settlement. Tax reports made available to you are for convenience only. If you accept resale or tax-exemption certificates, you are solely responsible for reviewing and accepting them; Heddley may store the documentation you collect, but we do not verify its validity or defend you in an audit.

8Your responsibilities

You are responsible for how you run your business on the platform, including:

  • The products you offer, your pricing, shipping rates, pickup options, and any published policies.
  • Fulfilling and shipping orders, and providing customer service and support to your Customers.
  • The lawfulness of the products you sell and the Content you and your Customers upload.
  • Any fonts you upload. You attest at upload that you hold the rights needed to use and distribute each font for printing, and all font licensing liability sits with you.
  • Complying with all laws that apply to your business, including consumer protection, advertising, and privacy laws.

9Content, brand, and intellectual property

You keep ownership of your brand, logo, colors, product configurations, and other Content you provide. You grant Heddley a limited license to host, display, reproduce, and process that Content as needed to operate your Storefront and provide the platform. You are responsible for ensuring you have the rights to everything you upload.

10Customer designs and prohibited content

Customers keep ownership of the designs they upload. As between you and Heddley, you are responsible for the Content that passes through your Storefront. You and your Customers may not upload or sell Content that infringes a third party’s rights, is unlawful, or violates our acceptable use expectations. Heddley may remove Content, or suspend access, in response to a credible infringement claim or a violation of these Terms.

The platform is designed so that Customers receive the printed product, not print-resolution digital files. Previews shown in the builder and on order pages are low-resolution and are not the product being sold.

11Acceptable use

You are responsible for ensuring that your Storefront, your products, and the Content you and your Customers upload comply with these Terms, with Stripe’s requirements, and with all applicable laws. You may not use the platform to sell, promote, or distribute anything that is illegal or that falls within a category Stripe restricts or prohibits. Prohibited and restricted uses include, without limitation:

  • Illegal goods or services, or anything that violates any law or regulation.
  • Content or products that infringe another party’s intellectual property, publicity, or privacy rights, including counterfeit or unlicensed goods.
  • Hateful, harassing, defamatory, or violent content, or content that promotes such conduct.
  • Sexually explicit or adult content or services.
  • Weapons, ammunition, explosives, or related accessories where restricted by law or by Stripe.
  • Regulated or age-restricted goods such as tobacco, vaping products, cannabis, drugs, or drug paraphernalia.
  • Fraudulent, deceptive, or misleading offers, or activity intended to evade fees, taxes, chargebacks, or these Terms.
  • Malware, attempts to gain unauthorized access to the platform, or interference with its security or with other users.

This list is not exhaustive. You are responsible for your Customers’ use of your Storefront. If we believe your Storefront, products, or Content violate this section, we may remove Content, suspend your Storefront, or terminate your account, and we may be required to report certain activity to Stripe or to the authorities.

12Copyright and DMCA

Heddley respects intellectual property rights and expects Merchants and their Customers to do the same. If you believe Content on a Storefront hosted by Heddley infringes a copyright you own or control, send a written notice to support@heddley.com that includes: a description of the copyrighted work you claim has been infringed; the location (such as a URL) of the material you claim is infringing; your name and contact information; a statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law; a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on its behalf; and your physical or electronic signature.

We may remove or disable access to Content that is the subject of a valid notice, and in appropriate cases we may suspend or terminate the accounts of Merchants or Customers who repeatedly infringe.

13Data and privacy

Our handling of personal information is described in the Heddley Privacy Policy. In general, for personal information about your Customers that we process to run your Storefront, you act as the controller of that information and Heddley acts as your service provider, processing it on your behalf to provide the platform. You are responsible for having an appropriate privacy notice on your Storefront and for handling your Customers’ data requests.

Each Merchant’s Customer lists, orders, and designs are kept separate and are not made visible to other Merchants. We will not introduce cross-Merchant discovery or shared order history without your consent.

14Custom domains

You may point a custom domain you own at your Storefront. We provide DNS and SSL support through our hosting provider, and you are responsible for owning and controlling the domain you connect and for keeping its registration current.

15Availability and changes to the service

We work to keep the platform available and reliable, but we do not commit to a specific uptime or service level at this time. The platform is provided on an “as available” basis, and we may modify, suspend, or discontinue features from time to time.

16Suspension and termination

You may stop using the platform at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the platform, its users, or third parties. On termination, your right to use the platform ends. Provisions that by their nature should survive, including fees owed, disclaimers, limitations of liability, and indemnification, will survive.

17Disclaimers

The platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error free, or that print output will meet a particular expectation. You are responsible for the quality and fulfillment of the products you sell.

18Limitation of liability

To the fullest extent permitted by law, Heddley will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the platform. To the fullest extent permitted by law, our total liability for any claim relating to the platform will not exceed the total platform fees you paid to Heddley in the three months before the event giving rise to the claim.

19Indemnification

You agree to defend, indemnify, and hold harmless Heddley and its owners and personnel from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of the products you sell, the Content on your Storefront, your taxes, your use of the platform, or your breach of these Terms.

20Governing law and disputes

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Wisconsin will have jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there.

21Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the platform after changes take effect means you accept the updated Terms.
